Terms of Service

These Terms of Service ("Terms") govern your access to and use of the RepU platform ("Service") operated by RepU Technologies Pty Ltd (ABN 82 164 749 786), a company based in New South Wales, Australia ("RepU," "we," "our," or "us"). By accessing or using the Service, including our websites (https://repu.ai, https://repu.page, https://repu.review) and associated web and mobile applications, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old or have reached the legal age of majority in your jurisdiction to use the Service. By using the Service, you represent that you meet this requirement and that you are legally capable of entering into binding contracts.

2. Account Registration

To use RepU, you must create an account, which may involve authenticating via Google OAuth. You agree to:

  • Be responsible for all activities that occur under your account;
  • Keep your login credentials secure;
  • Provide accurate and complete information.

RepU is not liable for any unauthorised use of your account.

3. Services Overview

RepU provides a software-as-a-service platform for reputation management, which includes:

  • AI-generated landing pages;
  • AI-generated responses to online reviews;
  • Automated posts featuring positive reviews;
  • Email, NFC, and SMS-based review generation;
  • Policy-violating review removal assistance;
  • Review analysis, notifications, and reporting;
  • Website widgets.

We may add, modify, or remove features without notice.

4. Payment & Subscription

  • All payments are made in advance.
  • Subscriptions are billed on a recurring monthly basis.
  • Accounts are non-transferable and tied to the original registrant.
  • If payment is not received by the due date, access to the Service will be suspended until payment is resolved.
  • No refunds are provided for mid-term cancellations or for unused time.
  • Cancellations become effective at the end of the current billing cycle.
  • Account deletion is final and will result in termination of access to all stored data, with no refunds issued.

5. User Conduct & Restrictions

You agree not to:

  • Use the platform for any unlawful purpose;
  • Submit false, misleading, or deceptive reviews;
  • Introduce viruses or other harmful code;
  • Attempt to reverse-engineer any component of the Service;
  • Share login access with third parties without permission;
  • Violate any applicable third-party terms (e.g., Google or OpenAI).

Violations may result in immediate termination.

6. AI and Google Integration

RepU integrates with OpenAI and Google APIs to provide features such as:

  • Generating AI-powered responses to reviews;
  • Creating landing pages.

By using these features, you:

  • Consent to the processing of your content by OpenAI for the purposes of generating output;
  • Acknowledge that all Google-related features require access to your Google Business Profile;
  • Authorise RepU to manage review data on your behalf through Google APIs.

Our use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

7. Data Retention and Deletion

  • Your account data is retained for the duration of your active subscription.
  • Upon cancellation or deletion, your data will be removed from our servers within 30 days, except where retention is required for legal or backup purposes.

8. Intellectual Property

All software, branding, and materials related to the RepU platform are owned or licensed by RepU.

  • You retain ownership of any content you submit.
  • You grant RepU a global, non-exclusive, royalty-free licence to use your submitted content solely for providing the Service.

9. Disclaimers

  • The Service is provided "as-is" without any guarantees of uptime, performance, or results.
  • AI-generated content may be inaccurate or inappropriate; you are responsible for reviewing all outputs.
  • We are not liable for issues arising from external services (e.g. Google API downtimes).

10. Limitation of Liability

To the maximum extent permitted by law, RepU is not liable for:

  • Indirect, incidental, or consequential damages;
  • Issues caused by user misuse or unauthorised access;
  • Loss of data, profits, or revenue.

Our total liability is capped at the amount paid by you in the preceding 1-month period.

11. Indemnification

You agree to indemnify and hold RepU harmless from any claims arising out of:

  • Any content submitted through your account;
  • Your misuse of the Service;
  • Your violation of any law or third-party rights.

12. Termination

We may terminate or suspend your account at our discretion, including for:

  • Legal or regulatory issues;
  • Non-payment;
  • Violation of these Terms.

You may cancel your subscription at any time. No refunds will be provided for partial usage.

13. Governing Law

These Terms are governed by the laws of New South Wales, Australia. All disputes will be subject to the exclusive jurisdiction of the courts of New South Wales.

14. Updates to These Terms

We may revise these Terms from time to time. If we do, we will post the updated Terms at https://repu.ai/terms. Continued use of the Service indicates your acceptance of the revised Terms.
